These Terms of Service (the "Terms") govern your access to and use of GreenKit™, the lawn care customer relationship management, scheduling, dispatching, invoicing, and payment platform operated by GreenKit™, LLC ("GreenKit™," "we," "us," "our"). By creating an account, accessing our website, or using the GreenKit™ mobile app (together, the "Service"), you agree to these Terms. If you do not agree, please do not use the Service.
GreenKit™ is software designed for lawn care operators and their crews. The Service includes a website, a mobile application, and the underlying hosted platform. Use of the Service is also subject to our Privacy Policy and any additional terms presented in the Service for specific features.
To use the Service you must register for an account and provide accurate, complete, and current information. The person who registers an account is the Account Owner and is responsible for billing, for managing access for any Employee Users they invite, and for everything that happens under that account. Employee Users are bound by these Terms to the same extent as the Account Owner. You must be at least 18 years old and authorized to bind your business to these Terms. Notify us immediately at security@greenkit.app if you suspect unauthorized access.
You retain ownership of all content you submit, upload, or generate through the Service ("User Content"), including client lists, job notes, schedules, routes, photos, and invoices. You are solely responsible for your User Content and represent that you have all rights necessary to submit it. We do not pre-screen User Content but may remove it if we believe it violates these Terms.
You agree not to use the Service to:

You grant GreenKit™ a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, modify (for technical purposes such as formatting), and otherwise use your User Content solely as needed to provide and improve the Service. We may use aggregated, anonymized data derived from User Content for product analytics and market research. This license ends when you delete your User Content or close your account, except as needed for backups, legal compliance, or to defend against claims.
Subject to your compliance with these Terms, GreenKit™ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may install the mobile app on devices you own or control. The Service is licensed, not sold. We reserve all rights not expressly granted.
The Service includes features that require a mobile device, mobile network, and standard messaging or data plan. You are responsible for any carrier charges. If you opt in to SMS notifications, you can opt out at any time by replying STOP. You consent to receive transactional notifications related to your use of the Service.
If you send us suggestions, ideas, or other feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without any obligation to compensate or attribute you. Your feedback is not considered confidential.
The Service may interoperate with third-party products, services, and websites that are not owned or controlled by GreenKit™. Your use of any third-party integration is at your own risk and is governed by the third party's own terms and privacy policy. GreenKit™ is not responsible for the availability, accuracy, content, or practices of any third-party service.
The Service may include features powered by artificial intelligence and machine learning ("AI Tools") to help automate scheduling, route optimization, or messaging suggestions. AI Tools may produce outputs that are inaccurate, incomplete, or biased. You are responsible for reviewing AI-generated outputs before relying on them. You may not use the AI Tools to bypass safety filters or extract training data, and you may not use them in violation of applicable law.
From time to time, we may make pre-release features available ("Beta Services"). Beta Services are provided "as is" without warranty and may be modified or discontinued at any time. Information you learn about Beta Services is GreenKit™ confidential information; you may not disclose it externally.
If you download the GreenKit™ mobile app from the Apple App Store or Google Play Store, your use is also subject to that store's terms. App store subscription billing is governed by the store's own purchase, refund, and cancellation rules. Apple Inc. and Google LLC are third-party beneficiaries of these Terms with the right to enforce them against you for that limited purpose.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, GREENKIT™ DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC BUSINESS OUTCOMES, REVENUE, OR ROUTE-SAVINGS RESULTS — THOSE DEPEND ON HOW YOU USE THE PRODUCT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GREENKIT™ OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. GREENKIT™'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS CAPPED AT THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100 USD) OR (B) THE AMOUNTS YOU PAID GREENKIT™ IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
You agree to defend, indemnify, and hold harmless GreenKit™ and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; or (d) your violation of any applicable law. This obligation does not apply to claims arising from GreenKit™'s own fraud or willful misconduct.
You may cancel your account at any time from Account Settings or by contacting support@greenkit.app. We may suspend or terminate your access to the Service immediately for material breach of these Terms, illegal activity, abusive behavior, or non-payment. Sections that by their nature should survive termination — including User Content licenses, disclaimers, limitation of liability, indemnification, confidentiality, and dispute resolution — will continue to apply.
We aim for 99.9% uptime and publish service status updates. We may modify, suspend, or discontinue the Service (or any feature) at any time, with reasonable advance notice for material changes whenever possible. Scheduled maintenance may cause temporary unavailability. We may release updates to the mobile app from time to time; you agree to install material updates promptly.
GreenKit™ maintains administrative, technical, and physical safeguards designed to protect the Service and your data. You are responsible for using a strong password, keeping your login credentials confidential, and assessing the risks of sharing your account. See our Security page for details on the controls we maintain.
Each party agrees to protect the other party's non-public information disclosed in connection with the Service ("Confidential Information") with at least the same degree of care it uses to protect its own confidential information, and to use it solely as needed to perform under these Terms. Confidential Information does not include information that is or becomes public through no fault of the receiving party, was rightfully known before disclosure, or is independently developed.
We respond to valid legal process consistent with our Privacy Policy and applicable law. We may charge reasonable time-and-materials costs for processing law enforcement disclosure requests where permitted.
Any dispute arising out of or relating to these Terms or the Service will be resolved through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may bring an individual action in small-claims court or seek injunctive relief in court for intellectual-property infringement. Before initiating arbitration, the complaining party must provide 60 days' written notice and a good-faith opportunity to resolve the dispute. YOU AND GREENKIT™ EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION. You may opt out of this arbitration agreement by sending written notice to legal@greenkit.app within 30 days of first accepting these Terms.
You are solely responsible for your interactions with other users of the Service, including any communications you send to your clients through GreenKit™. We have no obligation to monitor or mediate user-to-user disputes.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. Subject to the arbitration provision above, any action that may be brought in court will be filed exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.
These Terms, together with the Privacy Policy and any additional feature-specific terms presented in the Service, constitute the entire agreement between you and GreenKit™. We may amend these Terms from time to time; material changes will be announced by email and in the app at least 30 days before they take effect, and your continued use of the Service after that date means you accept the updated Terms. Any claim arising out of or related to the Service must be brought within one year after the cause of action arises. You may not assign these Terms without our prior written consent. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect.
